(1) A non-profit corporation shall hold a special meeting of members:

(A) On call of its board of directors or the person or persons authorized to do so by the articles of incorporation or bylaws; or

(B) If at least 20 percent of all the members entitled to vote on any issue proposed to be considered at the proposed special meeting sign, date and deliver to the non-profit corporation’s secretary one or more written demands for the meeting describing the purposes for which it is to be held.

(2) Special meetings of members may be held on or off of Cowlitz Indian Tribe Trust lands, at the place stated in accordance with the bylaws. If no place is stated in the bylaws, special meetings shall be held at the corporation’s principal office.

(3) Only business within the purposes described in the notice sent to members may be conducted at a special meeting of members.
