(1) A non-profit corporation shall notify its members of the date, time and place of each annual and special meeting of members no fewer than 30 nor more than 90 days before the meeting. Unless this Title or the articles of incorporation require otherwise, the non-profit corporation is required to give notice only to members entitled to vote at the meeting.

(2) Notice of members’ meetings shall be given by mail, email or telephone, using the most recent address or telephone number supplied to the non-profit corporation by each member; provided, however, that if it is consistent with the non-profit corporation’s articles or bylaws, notice may be given by posting and publishing notices instead of mailing or telephoning if the directors determine in good faith that notice so given is reasonably calculated to actually inform all voting members of the meeting.

(3) If an annual or special members’ meeting is adjourned to a different date, time or place, notice need not be given of the new date, time or place if that information is announced before meeting adjournment.
