Sovereign immunity of the Tribal Whole or Majority Owned For-Profit or Non-Profit Corporation may be waived only by express resolution of the Tribal Council of the Tribal Whole or Majority Owned For-Profit or Non-Profit Corporation after consultation with its attorneys and is defined within the Tribal Whole or Majority Owned For-Profit or Non-Profit Corporation’s Articles of Incorporation. All waivers of sovereign immunity must be preserved with the resolutions of the Tribal Council of the Tribal Whole or Majority Owned For-Profit or Non- Profit Corporation of continuing force and effect. Waivers of sovereign immunity are disfavored and shall be granted only when necessary to secure a substantial advantage or benefit to the Tribal Whole or Majority Owned For-Profit or Non-Profit Corporation. Waivers of sovereign immunity shall not be general but shall be specific and limited as to duration, grantee, transaction, property or funds, if any, of the Tribal Whole or Majority Owned For-Profit or Non- Profit Corporation subject thereto, court having jurisdiction pursuant thereto and law applicable thereunder. Neither the power to sue and be sued provided in the Tribal Whole or Majority Owned For-Profit or Non-Profit Corporationarticle of incorporation, nor any express waiver of sovereign immunity by resolution of the Tribal Whole or Majority Owned For-Profit or Non- Profit Corporation shall be deemed a consent to the levy of any judgment, lien or attachment upon property of the Tribal Whole or Majority Owned For-Profit or Non-Profit Corporation other than property specifically pledged or assigned, or any property of the Tribe, or a consent to suit in respect of any land held in Trust for the benefit of the Cowlitz Indian Tribe or a consent to the alienation, attachment or encumbrance of any such land.
