(1) Before dissolution is authorized by Tribal Council, the corporation shall deliver to the Economic Development and Operations Director, articles of dissolution setting forth:

(A) The name of the non-profit corporation;

(B) The date dissolution was recommended to be authorized;

(C) A statement that the dissolution recommendation was approved by a sufficient vote of the board;

(D) If approval of members was not required, a statement to that effect;

(E) If approval by members was required; the number of memberships outstanding and the total number of votes cast for and against dissolution.

(F) The proposed effective date of the articles of dissolution.

(2) After its articles of dissolution have been accepted and authorized by Tribal Council and has been filed by the Economic Development and Operations Director, a non-profit corporation is dissolved upon the effective date stated in its final articles of dissolution.
