(1) The board of directors of a non-profit corporation that has no members may, subject to any approval required by the articles or bylaws, may recommend to dissolve the non-profit corporation by delivering to the Economic Development and Operations Director, articles of dissolution.

(2) The non-profit corporation shall give notice of any meeting at which dissolution will be approved. The notice must also state that a purpose of the meeting is to consider dissolution of the non-profit corporation.

(3) Dissolution recommendation shall be approved or disapproved by a vote of a majority of the directors in office at the time the transaction is approved.

(4) The directors in voting to recommend dissolution shall adopt a plan of dissolution indicating to whom the assets owned or held by the corporation will be distributed after all creditors have been paid.

(5) The Tribal Council of the Cowlitz Indian Tribe shall have the authority to approve or disapprove the recommended dissolution by the non-profit corporation.
