(1) The Cowlitz Indian Tribal Council or Court of Competent jurisdiction may remove a director of a non-profit corporation from office in a proceeding commenced by the non-profit corporation, or by at least 33 percent of the members or in an action brought on behalf of the Economic Development and Operations Committee, if the Tribal Council or Court of Competent jurisdiction finds that:

(A) The director engaged in fraudulent or dishonest conduct or gross abuse of authority or discretion with respect to the corporation or that the director received a loan of the corporation’s money or credit, and

(B) Removal is in the best interest of the non-profit corporation.

(2) If the Tribal Council or Court of Competent jurisdiction removes the director it may bar the director from reelection for a period prescribed by the Tribal Council or Court of Competent jurisdiction.

(3) If either the non-profit corporation’s members or the Economic Development and Operations Committee commences a proceeding under subsection (1), the non-profit corporation shall be made a party defendant.
