(1) The articles of incorporation shall set forth:

(A) A corporate name for the non-profit corporation that satisfies the requirements of 06.11.090.

(B) One of the following statements:

(i) This corporation is a public benefit corporation.

(ii) This corporation is a mutual benefit corporation.

(C) The purpose or purposes for which the non-profit corporation is organized, which may be, either alone or in combination with other purposes, the transaction of any lawful activity;

(D) The names and addresses of the individuals who are to serve as the initial directors;

(E) The street address of the non-profit corporation’s initial registered office and the name of its initial registered agent at that office;

(F) The name and address of each incorporator;

(G) Whether or not the non-profit corporation will have members; and

(H) Provisions not inconsistent with law regarding the distribution of assets on dissolution.

(2) The articles of incorporation may set forth:

(A) Provisions not inconsistent with law regarding:

(i) Managing and regulating the affairs of the corporation;

(ii) Defining, limiting, and regulating the powers of the corporation, its board of directors, and members or any class of members; and

(iii) The characteristics, qualifications, rights, limitations and obligations attaching to each or any class of members.

(B) Any provision that under this Title is required or permitted to be set forth in the bylaws.

(3) Each incorporator and director named in the articles must sign the Articles.

(4) The articles of incorporation need not set forth any of the non-profit corporate powers enumerated in this Title.

(5) All articles of incorporations shall identify (with the Assistance of the Economic Development and Operations Director) the jurisdiction or jurisdictions of Tribal, International, Federal, State, or Local Laws which may or may not apply upon the corporation based on the corporations place or places and type or types of business and identify their comparable “Court of Competent Jurisdiction” and shall annually review jurisdictional subject matters for report to the Economic Development and Operations Director.
